| NATURE OF BUSINESS |

GERBANG is a special purpose company incorporate to undertake the Gerbang Selatan Bersepadu ("GSB") Project awarded by the Government of Malaysia (the "Government") which involves the construction of :
new Customs, Immigration and Quarantine ("CIQ") Complex (now known as Bangunan Sultan Iskandar)
JB Sentral Terminal
interchange No. 1 and connecting roads
Customs Marine Complex, Tanjung Surat (now known as Kompleks Tunku Mahkota Ibrahim Ismail Kastam Marin & Jati Diri Tanjung Surat)
New bridge to replace the exsiting Causeway*
railway bridge*
navigation channel*
(Note:*Due to bilateral issues with Singapore, the Government has decided in April 2006 not to proceed with the implementation of new bridge to replace, railway bridge and navigation channel works)

The authorized share capital of RM50 million, comprising 39.1 million ordinary shares of RM1 each and 10.9 million redeemable convertible cumulative preference shares of RM1 each. The issued capital stands at RM18.4 million with a paid up capital of RM7.609 million. GERBANG is owned by Merong Mahawangsa Sdn Bhd

GERBANG PERDANA CIQ SDN BHD Incorporated on 27 December 2003 , Gerbang Perdana CIQ Sdn Bhd ("GCIQ") is a special purpose company set-up to raise finance in the form of Medium Term Notes ("MTN") amounting to RM1.7 billion, to finance the capital expenditure and related expenses associated with the construction of the CIQ. Commerce International Merchant Bankers Berhad ("CIMB") and Alliance Merchant Bank Berhad (" Alliance Merchant") acted as Joint Principal Advisers and Joint Lead Managers for the MTN Programme. |

Dato' Yahya A. Jalil has about 25 years of experience in the construction industry. He steers the IBEX Group of companies (IBEX), having core businesses in construction and engineering such as infrastructure and property development. He founded IC&E Group Sdn Bhd in 1991 and it is currently a Class A contractor with an impressive project track record including the construction of multi-million ringgit infrastructure and property projects such as the Aquatic Centre of the National Sports Complex at Bukit Jalil, the Administration Building for Phase 1 of the Projek Usahasama Transit Ringan Automatik (PUTRA) LRT and toll plazas along the New Klang Valley Expressway and Projek Lebuh Raya Utara-Selatan.

GERBANG is an organisation that possesses an impressive experience in undertaking major projects. An organisation
that comprises
of qualified and experienced professionals of various expertise and background, GERBANG is the turnkey contractor for the Gerbang Selatan Bersepadu (GSB) Project. Incepted in 1998, the GSB Project aimed to develop a timely solution to address the shortcomings of the existing Johor Causeway and Customs, Immigration and Quarantine (CIQ) Complex, which are frequently congested and no longer adequate in catering to the increasing level of traffic between Malaysia and Singapore .
Located at Bukit Chagar, Johor Bahru, the GSB project covers an area of 113.196 acres in the city centre of Johor Bahru. The project encompasses the following scope of works :
replacement of the existing CIQ facilities with a new CIQ Complex (now known as Bangunan Sultan Iskandar).
a new transportation hub, the JB Sentral Terminal
improvement to the existing road networks leading in and out of the facilities
alteration of Water Mains and other utilities construction of Customs Marine Complex in Tanjung Surat (now known as Kompleks Tunku Mahkota Ibrahim Ismail Kastam Marin & Jati Diri Tanjung Surat)
a bridge to replace the existing Causeway*
a railway bridge connecting Malaysia and Singapore
dredging of a navigation channel*
The above scope of works are covered under the following two contracts, namely :
the Integrated CIQ Complex, awarded in May 2003
the Bridge Project, awarded in August 2003
Note:* Due to bilateral issues with Singapore, the Government terminated this contract in April 2006)
Bolstered by an experienced project team that consists of professionals who were involved in other major projects in Malaysia, amongst others, the Putrajaya Administrative Centre, the North-South Expressway, the Kuala Lumpur International Airport, the National Sports Complex, the Malaysia-Singapore Second Crossing, the Penang bridge, the Sg. Dindings bridges, the Sg. Selangor Water Supply project, the Tanjung Pelepas port, the Light Rail Transit project, and the KL Sentral; the team has successfully executed the implementation of the GSB project.
